RESOLUTION OF THE BOARD OF DIRECTORS OF SAN FRANCISCO PRIDE

WHEREAS, San Francisco Pride, a California nonprofit public benefit corporation (the “Corporation”), is governed by its Board of Directors (the “Board”) as set forth in its Bylaws; and

WHEREAS, Article 6, Section 2 of the Corporation’s Bylaws empowers the Board to fix the number of directors by resolution, within the minimum and maximum numbers specified in the Bylaws; and

WHEREAS, the Board has determined that a fixed number of 7 directors is appropriate and in the best interest of the Corporation to ensure effective governance, diverse representation, and efficient decision-making;

NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors of San Francisco Pride hereby fixes the number of directors comprising the full Board at 7, effective immediately upon the adoption of this Resolution.

BE IT FURTHER RESOLVED, that the President, Secretary, and authorized staff of the Corporation are hereby authorized and directed to take any and all actions necessary to implement this Resolution.
